Terms and Conditions

2. Scope of Application
These Terms and Conditions govern all sales and supply contracts entered into between Simaca Lda (“the Supplier”) and its business customers. By placing an order, the Customer declares that they have read, understood, and accepted these Terms and Conditions.
3. Products and Specifications
The Supplier manufactures and supplies leather goods and related materials in accordance with specifications agreed upon in writing.
Any samples, drawings, or descriptions are for illustrative purposes only, unless expressly agreed otherwise.
The Supplier reserves the right to make minor changes to the product that do not affect its functionality, quality, or agreed specifications.
4. Orders and Acceptance
Orders must be placed in writing and are subject to acceptance by the Supplier.
An order is only considered confirmed once accepted in writing by the Supplier.
Any changes requested by the Customer after confirmation may result in revised prices and delivery times.
5. Prices and Payment Terms
All prices are stated in Euros (€) and exclude VAT, taxes, or transportation costs, unless otherwise agreed in writing.
Payment terms are [XX] days from the invoice date, unless otherwise stipulated in the order confirmation.
Late payments are subject to interest of [X]% per month, plus collection costs.
6. Delivery and Transfer of Risk
Delivery dates are indicative and non-binding, unless expressly guaranteed in writing.
Risk of loss or damage transfers to the Customer upon delivery at the agreed location or to the carrier.
Delays resulting from force majeure (including strikes, shortages of raw materials, or transportation issues) do not entitle the Customer to cancel the order or claim compensation.
7. Quality and Complaints
The Supplier guarantees that the products meet the agreed specifications and are free from material defects.
The Customer must inspect the products upon delivery and notify the Supplier in writing of any defects within [X] business days.
Complaints submitted after this period will not be accepted, except in cases of latent defects demonstrably attributable to the Supplier.
8. Intellectual Property
All designs, patterns, trademarks, and other intellectual property rights remain the exclusive property of the Supplier.
No license or transfer of intellectual property rights is granted, unless expressly agreed in writing.
9. Limitation of Liability
The Supplier’s liability, whether contractual or non-contractual, is limited to the value of the order in question.
The Supplier is not liable for indirect, incidental, or consequential damages, including loss of profits or business interruption.
10. Confidentiality
Both parties undertake to treat as strictly confidential all technical, commercial, and operational information exchanged, and not to disclose it to third parties without prior written consent.
11. Termination
Either party may terminate the contract in the event of a material breach not remedied within [X] days after written notice.
The Supplier may terminate immediately if the Customer becomes insolvent or fails to make payment within the agreed term.
12. Governing Law and Jurisdiction
These Terms and Conditions are governed by and interpreted in accordance with the laws of Portugal.
Any disputes shall be submitted to the exclusive jurisdiction of the courts of Porto, Portugal.
13. Amendments
The Supplier reserves the right to amend these Terms and Conditions at any time, subject to prior written notice to the Customer.
Updated versions shall apply to all orders placed after the effective date of the amendments.
